WE HEREBY affirm that we are exercising our right to “freedom of association,” as guaranteed by the Universal Declaration of Human Rights (UDHR), the U.S. Constitution, equivalent provisions in various state constitutions, and the Charter of Rights of Canada. Consequently, all activities of our Association are confined to the private domain and are exempt from the jurisdiction of government entities, agencies, officers, agents, contractors, and other representatives, in accordance with the law.
I agree that this contract commenced on the date of my joining Spiritdetox Ministries, SSM and Equitypay Crypto™. By joining this Association and/or its websites and/or social media group(s), I confirm that I have thoroughly read, understood, and agree with the entire document.
Should I disagree with any part of this statement, I agree to provide immediate written notice to terminate my membership. By participating on Market grounds today, I consent to all of the above statements in their entirety.
A Private Membership Association (PMA) consists of individuals collectively exercising their rights to decide which devices, products, procedures, or services they use to maintain their own body, mind, or spirit.
A PMA functions similarly to a private family, with the PMA creator serving as the head of the family and the members as family members. Just as matters within a close family’s private home are generally immune from external censorship or control, so too are the activities and communications within a PMA typically exempt from oversight by governmental administrative agencies.
PMAs have a well-established legal history and are generally exempt from most, if not all, state and federal public laws. For example, private clubs may permit alcohol consumption in “dry counties” where public sale of alcohol is restricted or illegal; smoking may be allowed in “cigar bars” or private clubs even where public smoking is prohibited; and private sports clubs, such as those for golf, baseball, football, and soccer, adhere to their own internal rules rather than public laws. Similarly, organizations like the Cub Scouts, Brownie Scouts, Boy Scouts, Girl Scouts, the National Association for the Advancement of Colored People (NAACP), the American Medical Association, and various bar associations are all forms of PMAs that operate primarily under their own regulations rather than public law.
Who is the FDA, and what authority and powers have been lawfully delegated to it? Over whom or what does the FDA have jurisdiction? Is it possible to change or opt out of being subject to the FDA’s jurisdiction?
The Food and Drug Administration (FDA) is an administrative agency of the United States government, established by public law and empowered with limited, clearly defined authority. According to its mission, the FDA is charged with protecting public health by overseeing the safety, efficacy, and security of human and veterinary drugs, biological products, medical devices, the nation’s food supply, cosmetics, and radiation-emitting products.
The FDA’s regulatory scope includes oversight of information dissemination concerning healthcare-related products and services. This includes restrictions on the advertising, marketing, and public disclosure of information about medical devices, procedures, and therapies through various forms of communication, including print, broadcast, digital media, and other public platforms.
In practice, the FDA holds significant influence over what may be publicly communicated regarding healthcare goods and services, particularly when such communication occurs within the realm of commerce or affects public welfare.
Individuals may function in multiple legal capacities throughout their lives—for example, in private roles (such as a family member or friend), or in public/commercial roles (such as a licensed professional or government employee). Government authorities similarly operate under dual frameworks: as bodies politic, tasked with protecting individual rights and property; or as bodies corporate, managing public administration and commercial interests under regulatory law.
Commercial actors, by engaging in activities for profit within the public domain, are subject to commercial statutes, regulatory codes, and administrative oversight. Their actions are governed by public law and administrative policy, with constitutional protections applied in a limited scope. Public servants are also subject to administrative regulation, intended to safeguard the broader public from undue harm or risk.
The privilege of offering goods, services, or information to the public is governed by the character and jurisdiction in which one operates. Activities conducted within the commercial/public domain are regulated by public law. However, individuals also retain the right to engage in private activities outside this jurisdiction when done in a non-commercial, private association context.
Private Membership Associations (PMAs) offer a lawful means by which individuals may conduct certain activities within the private domain. Grounded in the First and Fourteenth Amendments to the U.S. Constitution, as well as corresponding state constitutional provisions, individuals retain the right to associate freely and to conduct lawful private affairs without undue government interference—provided these activities do not pose a substantial threat to public welfare.
While some actions may be restricted or regulated within the public sphere, the same actions may be lawfully carried out within the protected bounds of a private association. Nonetheless, the right to associate is not unlimited. As established by the U.S. Supreme Court, government intervention is constitutionally permitted when private conduct results in substantial harm or presents a compelling state interest—especially where such conduct offends prevailing legal or moral standards.
The right to associate is a fundamental, constitutionally protected liberty that extends beyond social or political activity to include private business and economic relationships. This includes, for example, engaging in private commerce such as the distribution or sale of goods—including regulated items like alcohol—when conducted within the private domain. Members of a Private Membership Association (PMA) lawfully exercise their right to enter into private, non-public contracts under the Due Process Liberty Clauses of the Fifth and Fourteenth Amendments to the U.S. Constitution.
Under Article I, Section 10 of the Constitution, no state shall pass any law impairing the obligation of contracts. This constitutional prohibition affirms that the private right to contract remains protected from state interference when such contracts are formed lawfully between consenting parties operating in a private capacity.
The First, Fifth, and Fourteenth Amendments collectively affirm the rights to free speech, association, and due process. Additionally, the Tenth Amendment confirms that powers not delegated to the federal government are reserved to the states or to the people, and the Ninth Amendment protects unenumerated rights retained by the people—rights that preexist government and are inalienable, including life, liberty, property, privacy, and self-determination.
Citizens and non-citizen nationals, whether acting individually or within a PMA, may exercise these rights so long as their conduct does not infringe upon the rights of others or create a clear and present danger of substantial harm. Rights preserved under the Ninth and Tenth Amendments include but are not limited to: home education, choice of suppliers or health providers, religious or philosophical practices, and alternative lifestyles—all protected within the lawful private domain.
Within a PMA, members act in their private, personal capacity—not as agents of the public or commercial realm. As such, they retain full enjoyment of their constitutionally secured rights, unless such rights are explicitly waived or restricted by the terms of the association itself, or unless the exercise of such rights would result in substantial harm.
The lawful foundation of a PMA is consistent with the principles expressed in The Declaration of Independence, The Articles of Confederation, The Constitution for the United States of America, and The Bill of Rights. These documents collectively affirm that individuals possess inherent rights, not granted by government but protected from governmental infringement.
A PMA is created by private contract among its members and does not derive its existence from statute or governmental authority. It does not require permission, approval, or licensure from any state or federal agency to lawfully operate within the private domain. So long as it remains within its private scope and does not enter into regulated commercial activity in the public domain, its affairs are beyond the jurisdiction of administrative agencies and public law.
Please read the following carefully, as it pertains to the Agreement for your registration with any products or services offered via Pledges (referred to as the “Program”) by Spiritdetox Ministries, SSM in fellowship with EquityPay Crypto™ (referred to as the “Ministry”).
By purchasing our products or services through donation or by interacting with our free membership trail, you (referred to as “Member”) agree to the terms outlined below.

The Spiritual Association/Church/Ministry, as defined by this Declaration, is organized for worship, education, spiritual freedom, faith, and reliance on nature, with the goal of advancing the enlightenment and betterment of individuals who voluntarily associate with this Ministry globally. Spiritdetox Ministries, SSM is committed to remaining an unincorporated entity dedicated to these purposes.
Spiritdetox Ministries, SSM, and EquityPay Crypto™ commit to delivering course content, personal development resources, wealth creation strategies, online courses, and coaching designed to assist Members in transforming their lives and exploring new spiritual experiences. By participating in any of our programs, Members agree to adhere to all policies and procedures outlined in this Agreement.
Members acknowledge that Spiritdetox Ministries, SSM, and EquityPay Crypto™ are not acting as employees, agents, lawyers, doctors, managers, therapists, public relations or business managers, registered dieticians, financial analysts, psychotherapists, or accountants. Participants understand that the services provided do not diagnose or treat any disease, illness, or ailment. Should any such concerns arise, members are advised to consult their registered physician or another qualified practitioner based on their own judgment.
Members acknowledge that neither Spiritdetox Ministries, SSM, nor EquityPay Crypto™ has made any promises or guarantees, nor are they obligated to provide the following:
Members also understand that they may withdraw from this agreement and terminate their membership in the Association at any time. However, membership can and will be revoked if a member engages in abusive, violent, menacing, destructive, or harassing behavior towards any other member of the Association.
Members are responsible for fulfilling all payment obligations associated with the products or services they acquire through donations. We reserve the right to pursue the recovery of any outstanding payments through our Collection Agency. Members understand that failure to complete all donation payment plans will result in the forfeiture of lifetime access to any programs, with no refund provided. Furthermore, members acknowledge that lifetime access to any programs is a privilege granted by the trustees of Spiritdetox Ministries, SSM, and may be revoked at any time without prior notice, at the trustees’ discretion.
We accept Visa, Mastercard, and American Express as a form of payment donation. If Member chooses to pledge by monthly installments, he/she authorizes the monthly charge for the membership on the Member’s credit card or debit card.
A private member may cancel their monthly membership pledge subscription at any time. If you wish to request a refund of your membership donation or pledge, you must do so within 30-days of the charge appearing on your credit or debit card. Requests made after 30-days will not be eligible for a REFUND. We hold all of our members to the highest ethical standards and expect adherence to the private membership refund policy.

Spiritdetox Ministries, SSM, and EquityPay Crypto™ operate as an unincorporated private ministerial association and spiritual church ministry. All acquisitions of products or services through Spiritdetox Ministries, SSM, and EquityPay Crypto™ are made through donations, gifts, or contributions for the growth of the private membership community.
Spiritdetox Ministries, SSM, and EquityPay Crypto™ respect the privacy of our members and expect the same in return. This agreement serves as a mutual non-disclosure agreement. Any confidential information shared by Spiritdetox Ministries, SSM, and EquityPay Crypto™ members or representatives is confidential, proprietary, and belongs solely to the party who discloses it. Both parties agree not to disclose, reveal, or misuse any confidential information or transactions discussed during interactions, forums, or otherwise.
Members agree to use confidential information solely for discussions with other members, Spiritdetox Ministries, SSM, and EquityPay Crypto™, during the respective program. Confidential information includes, but is not limited to, information shared under this agreement and does not include information rightfully obtained from third parties. Both parties will maintain strict confidentiality and use their best efforts to protect the information against disclosure, misuse, loss, and theft.
Members also agree not to violate the publicity or privacy rights of Spiritdetox Ministries, SSM, and EquityPay Crypto™. Furthermore, members will not disclose any information obtained in connection with this agreement or interactions with Spiritdetox Ministries, SSM, and EquityPay Crypto™, including but not limited to, names, email addresses, third-party company titles or positions, phone numbers, or postal addresses. Members will not directly or indirectly share confidential information with any third party.
By making a donation for our products, members agree that if they violate or display any likelihood of violating this agreement, Spiritdetox Ministries, SSM, and EquityPay Crypto™ and/or other members are entitled to seek injunctive relief to prevent any such violations and protect against the resulting harm.
As operators of our own private membership community, we have the unique ability to offer our members opportunities to build future wealth through a structured, consistent plan. Our reward program is decentralized and features a flattened organizational structure. Unlike traditional corporations, where profits predominantly benefit board members and major stockholders, our focus is on prioritizing our members.
We have designated (6 million EQPAY coins) for distribution among our private members at various contribution levels. Our board of trustees is committed to fostering growth opportunities for the membership. The program is designed to give back to the community through education, entrepreneurial opportunities, and monthly rewards for all members.
Above, you will find a table for board membership level, detailing the monthly subscription fees. Unless canceled, membership pledges will be automatically charged each month. We currently offer two membership levels: Free Trial Trustee ($99.95). At the end of each monthly cycle (31-40 days), all members will receive rewards and bonuses in EQPAY coins. After 12 months of membership, the rewards program will reset, with the 13th month treated as the 1st month, and rewards paid out accordingly.
Calculating Monthly Rewards: Your rewards will be determined based on the current price of EQPAY coins on the day they are sent to you. For instance, if you are at the Trustee level during your first month, your monthly rewards would total $133. If the average price of EQPAY is $0.10 at that time, you will receive 1,330 EQPAY coins for that month.
Use of Membership Pledges: A significant portion of the pledges we collect is used to acquire additional EQPAY coins, akin to a corporate stock buy-back plan. This strategy enhances the stability and liquidity of the coin, thereby attracting more members and investors, including those who may not wish to join the membership.

The Ministry acknowledges that members are 100% responsible for their progress and results derived from using these products. Spiritdetox Ministries, SSM, and EquityPay Crypto™ make no representations, warranties, or guarantees, either verbal or written. Members understand that due to the nature and scope of the products, results can vary significantly among individuals. Members recognize that, as with any spiritual business endeavor, there is an inherent risk of financial loss, and there is no guarantee of achieving specific goals through participation in these programs.
The education and information provided by Spiritdetox Ministries, SSM, and EquityPay Crypto™ are intended for a general audience and should not be construed as specific advice tailored to any individual. Spiritdetox Ministries, SSM, and EquityPay Crypto™ assume no responsibility for any errors or omissions that may occur in the program materials.
The members of the Board of Trustees are not liable for any obligations of this Ministry, except as defined within the Bylaws. Any individual or entity dealing with this Ministry may only seek funds and assets of Spiritdetox Ministries, SSM, for the payment of any claims, debts, judgments, or obligations, including any “money” owed in connection with Spiritdetox Ministries. All actions, claims, and suits must be adjudicated in the Tribunals of Spiritdetox Ministries, SSM, as outlined in the Declaration of Charter/Bylaws of Spiritdetox Ministries, a Private Spiritual Church Ministerial Association.
Members acknowledge that they use Spiritdetox Ministries’ services at their own risk and understand that the Programs are educational services provided by the Ministry. Members release Spiritdetox Ministries, its members, ministers, directors, trustees, contracted workers, and related entities (collectively referred to as “Releasees”), as well as any venue where the Programs are held, from any damages arising from claims, actions, causes of action, contracts, suits, costs, demands, or damages of any nature or kind in law or equity resulting from their participation in the Programs. Members accept all risks, foreseeable or unforeseeable, and agree that Spiritdetox Ministries will not be held liable for any damages, including but not limited to direct, indirect, incidental, special, negligent, consequential, or exemplary damages resulting from the use or misuse of Spiritdetox Ministries’ services or enrollment in the Programs. Spiritdetox Ministries assumes no responsibility for any errors or omissions that may appear in any program materials.
The Member agrees and accepts that any disputes will be resolved exclusively in the designated venue as specified below. The Member further agrees not to engage in any conduct or communication with third parties, whether public or private, that is intended to disparage any other party involved. Neither the Member nor any contributing members, ministers, directors, trustees, contracted workers, or affiliates of the Ministry will directly or indirectly, in any capacity or manner, make, express, transmit, speak, write, verbalize, or otherwise communicate (nor cause, further, assist, solicit, encourage, support, or participate in any such actions) any remarks, comments, messages, information, declarations, communications, or other statements of any kind, whether verbal, written, electronically transferred, or otherwise, that could reasonably be construed as derogatory, critical, or negative toward Spiritdetox Ministries, its programs, or its contributing members, ministers, directors, trustees, contracted workers, advisors, agents, or representatives.
The Member shall defend, indemnify, and hold harmless Spiritdetox Ministries, its contributing members, associates, ministers, trustees, contractors, related entities, affiliates, and successors from any and all liabilities and expenses, including but not limited to claims, damages, judgments, awards, settlements, investigations, costs, attorney fees, and disbursements. These protections cover any obligations that may arise from the offering, sale, and/or use of the product(s), except for any expenses and liabilities resulting from a breach of this Agreement or from the sole negligence or willful misconduct of the Ministry or its associated individuals.
The Member agrees to defend the Ministry in any legal or regulatory actions arising from or related to this Agreement. It is understood and agreed that all contributing members, associates, ministers, contractors, trustees, affiliates, and successors of the Ministry shall not be held personally liable for any actions or representations of the Ministry.
In consideration of and as part of the Member’s donation for the right to participate in Spiritdetox Ministries Programs, the undersigned, along with their heirs, executors, administrators, successors, and assigns, hereby release, waive, acquit, discharge, indemnify, defend, hold harmless, and forever discharge Spiritdetox Ministries, its subsidiaries, principals, ministers, trustees, contractors, contributing members, agents, heirs, executors, administrators, successors, and assigns, as well as any training instructors, guides, staff, students involved in the training, and the venue where the Programs are held (if applicable) and its owners, executives, agents, or staff (collectively referred to as “Releasees”), from all actions, causes of action, contracts, claims, suits, costs, demands, and damages of any nature or kind, whether in law or equity, arising from participation in the Programs.
The Ministry’s Programs, including all copyrighted and original materials provided to Members, are intended solely for individual use under a single-user license. Members are not authorized to utilize any of the Ministry’s intellectual property for business purposes. All intellectual property, including copyrighted programs, course materials, and asset building strategies, remains the exclusive property of Spiritdetox Ministries, SSM. No license to sell or distribute the Ministry’s materials is granted or implied.
By purchasing this product via donation, Members agree to:
Furthermore, if a Member violates or shows any likelihood of violating these agreements, the Ministry is entitled to seek injunctive relief to prevent such violations and mitigate any resulting harm.
Nothing in this Agreement shall be interpreted as establishing a partnership, joint venture, or any similar relationship between the parties. Each party shall operate as an independent contractor and retain full control over their personnel and the manner in which they perform their duties under this Agreement. Participation or performance under this Agreement shall not create any contractor relationship between the parties.
In the event that any circumstance beyond the reasonable control of either party arises, including but not limited to acts of God, war, disruption of transportation facilities, threats or acts of terrorism, State Department travel advisories, labor strikes, or civil disturbances, which renders it inadvisable, illegal, or impossible for either Spiritdetox Ministries, SSM or its affiliates to fulfill its obligations under this Agreement—due to unreasonable increased costs or risk of injury—the performance of the affected party shall be extended without liability for the duration of the delay or inability to perform caused by such circumstances.
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall continue to be in full force and effect. The failure of either party to exercise any right granted herein shall not be construed as a waiver of that right or any other rights under this Agreement.
Member may not assign this Agreement without the express written consent of the Spiritdetox Ministries, SSM.
Spiritdetox Ministries, SSM may modify the terms of this Agreement at any time. All modifications shall be posted on the associated website and members shall be notified.
Spiritdetox Ministries, SSM is dedicated to ensuring a positive experience for all Members. By purchasing a product via donation, the Member agrees that the Ministry reserves the right, at its sole discretion, to terminate this Agreement and to limit, suspend, or terminate the Member’s participation in the Program(s) without refund or waiver of monthly payments if the Member becomes disruptive to the Ministry or other Members, fails to adhere to Program guidelines, proves difficult to work with, impairs the participation of other Members, or violates any terms as determined by the Ministry. The Member remains obligated to pay the total contract amount regardless of such termination.
Excepting chain of title on all land titles, all business, and affairs of the Spiritdetox Ministries, SSM Church remains exclusively within the jurisdiction of the Laws of Nature and Natures God and Ecclesiastical Law as defined, interpreted, and adjudicated by the designated committees and Tribunals of Spiritdetox Ministries. Venue and jurisdiction are solely within Ecclesiastical Courts or Tribunals of Spiritdetox Ministries, and all hearings, proceedings, and trials must be recorded in the records of the Ecclesiastical Court/Tribunal of Spiritdetox Ministries. All other courts of any jurisdiction foreign to the Courts/Tribunals of Spiritdetox Ministries lack personal or subject matter jurisdiction to hear or decide any matter of Ecclesiastical Law of Spiritdetox Ministries.
The eternal Covenant of the Undersigned with the Creator remains paramount in all matters. As it is written: “… we ought to obey God rather than man”, Acts 5:29; and “No man can serve two masters: for either he will hate the one, and love the other; or else he will hold to the one, and despise the other. Ye cannot serve God and mammon.”, Matt. 6:24.
With the intent of living in peace with all people and living beings in the Kingdom of God, each Trustee and each minister is established as an Ecclesiastical Emissary with neutral, non-engaged, status, and is not involved in any manner with any disputes, conflicts, wars, and declarations of war powers involving any other parties.
By the authority of the Laws of Nature and between each Trustee of Spiritdetox Ministries, SSM and members, all Trustees possess such absolute rights and powers as authority for:
It is hereby declared that Spiritdetox Ministries, SSM operates as an unincorporated private entity established in accordance with the Laws of Nature and Nature’s God, Ministry Ecclesiastical Law, applicable constitutional provisions, and Section 508(c)(1)(a) of Title 26 of the United States Code, as well as equivalent codes in any of the states of the United States of America.
The Private Ministerial Association, Spiritdetox Ministries, SSM, and the aforementioned Private Association conduct their operations as a Faith-Based Organization within the private domain, benefiting from the protections provided by the Universal Declaration of Human Rights (UDHR), the U.S. Constitution, the Constitutions of the individual States, the Canadian Charter of Rights, and other applicable laws.
All interpretations of this Agreement shall be governed by the Laws of God as adjudicated by the Tribunals of Spiritdetox Ministries, SSM. For reference, any relevant parties, including dispute resolution committees, arbitration tribunals, and courts with appropriate jurisdiction, may consider pertinent court rulings related to integrated auxiliaries of similar ministries.
Members acknowledge that, due to the protections afforded by the First and Fourteenth Amendments to the U.S. Constitution, the Association is outside the jurisdiction and authority of Federal and State Agencies with respect to any complaints or grievances. All such matters will be addressed by an Association designee, committee, or tribunal, with members waiving their rights to pursue external remedies. By engaging with any content, whether free or purchased via donation, from Spiritdetox Ministries, SSM, Members agree to these terms and confirm that they have adequately informed themselves about the implications of their participation.
