Article I: Name and Legal Foundation

Section 1.1 Name

The name of this organization shall be SpiritDetox Ministries (SDM), also referenced in these bylaws as “the Ministry.”

SpiritDetox Ministries functions as a private fellowship organized for educational, spiritual, and community purposes in accordance with the principles described in these bylaws.

Where referenced in fellowship with the Association, EQPAY is understood as a native blockchain coin used within a private educational ecosystem and not as an investment or security.

Section 1.2 Private Ministerial Association Status

SpiritDetox Ministries operates as a Private Ministerial Association (PMA) composed of individuals who voluntarily associate for educational, spiritual, and community-based activities.

Participation in the Ministry constitutes a private membership relationship governed by its Bylaws, Membership Agreements, and supporting documents.

The Ministry recognizes and respects the principles of voluntary association, religious liberty, and private agreement as commonly understood within established legal and human rights frameworks.

These principles are acknowledged to support the nature of the Ministry’s educational and community-focused environment.

Section 1.3 Unincorporated Status

SpiritDetox Ministries is organized as an unincorporated association and is not formed as a statutory corporation.

As an unincorporated private association:

  • The Ministry is governed internally by its bylaws, declarations, and membership agreements.
  • Membership participation is voluntary and based on private contract among members.
  • Internal matters of the Ministry are administered according to its governing documents and ministerial leadership.
The Ministry conducts its activities in accordance with its educational and spiritual mission and maintains administrative independence consistent with its private association structure.

Section 1.4 Reference to Legal Codes Disclaimer

References to constitutional provisions, statutes, or international declarations within these Bylaws are provided for general informational and contextual purposes only.

These references are not intended to constitute legal advice, formal legal claims, or assertions regarding exemption from applicable laws or regulations.

Each member remains individually responsible for understanding and complying with the laws and regulations applicable within their own jurisdiction.

Article II: Mission

Spiritdetox Ministries, SSM, exists to:

  • Promote spiritual education, faith, and personal transformation.

  • Facilitate holistic well-being and prosperity among members

  • Offer a lawful, private platform for ministry, commerce, and education

  • Support decentralization, sovereignty, and freedom of association

Article III: What is a PMA?

A Private Membership Association (PMA) is a voluntary, member-based organization composed of individuals who come together for shared educational, spiritual, and community purposes.

Participation within a PMA is based on private agreement between members and is governed by the Association’s Bylaws, Membership Agreements, and internal standards.

PMAs are formed in recognition of the principles of voluntary association, personal responsibility, and the ability of individuals to organize around shared values and objectives.

Article IV: Membership

Section 4.1 Eligibility: Any individual who agrees with the principles and mission of the Ministry and has not been previously banned may apply for membership.

Section 4.2 Rights: Members have the right to:

  • Participate in all programs and offerings

  • Receive educational content, coaching, and spiritual mentorship

  • Engage in private exchange with other members

Section 4.3 Responsibilities: Members must:

  • Act with integrity, respect, and confidentiality

  • Abide by all agreements, pledges, and community standards

Section 4.4 Termination: Membership may be revoked at the discretion of the Board of Trustees for:

  • Disruptive behavior

  • Violation of agreements

  • Engaging in harmful, fraudulent, or harassing activities

Article V: Structure

Section 5.1 Board of Ministers

SpiritDetox Ministries is guided by a Board of Ministers responsible for supporting the direction, programs, and overall stewardship of the Ministry.

Members of the Board of Ministers:

  • Contribute to governance and decision-making related to the Ministry’s activities and initiatives
  • Support the mission of the Ministry through ongoing participation and contribution
  • May issue certifications, acknowledgments, or related documentation within the scope of the Ministry’s educational and community functions
Section 5.2 Independent Contractor Status:

All members, ministers, and contributors participate independently within the SpiritDetox Ministries community and are not employees of the Ministry.

Participation does not create an employment, partnership, or agency relationship. Each individual remains responsible for their own actions, decisions, and activities.

Article VI: Programs and Services

SpiritDetox Ministries provides educational and community-based programs, including:

  • Spiritual education, wellness resources, and holistic development
  • Online courses focused on personal growth, entrepreneurship, and practical life skills
  • Private community engagement and learning support

Article VII: EQPAY Education Scholarship Certificate Program

Section 7.1 Program Overview

The Education Scholarship Certificate Program is part of the broader EQPAY community participation ecosystem and is not administered by SpiritDetox Ministries, SSM.

This program exists as a community-driven initiative designed to support participation, engagement, and long-term involvement within the EQPAY ecosystem.

SpiritDetox Ministries provides educational content, community access, and learning resources. The Education Scholarship Certificate Program operates independently as part of the EQPAY community framework.

Section 7.2 Program Nature

The program is participation-based and reflects engagement within the EQPAY community ecosystem.

Certificates issued under this program represent internal records of participation and are intended for community recognition and tracking purposes.

This program does not constitute a financial product, investment, or guaranteed outcome of any kind.

Section 7.4 Certificate Issuance and Records

Certificates may be issued periodically within the EQPAY ecosystem to reflect participation over time.

Each certificate may include:

  • Issue date
  • Participation period
  • Certificate reference
  • Internal identification
Certificates are maintained as part of a participant’s internal record within the EQPAY ecosystem.

Section 7.5 Ecosystem Interaction

The Education Scholarship Certificate Program operates within the EQPAY ecosystem and may interact with other internal systems or community mechanisms.

Any such interaction is part of the internal design of the ecosystem and does not represent a sale, exchange, or financial obligation.

All participation remains voluntary and subject to the evolving structure of the EQPAY community.

Section 7.6 Program Administration

This program is supported and maintained by the EQPAY community ecosystem and is not directly administered by SpiritDetox Ministries, SSM.

SpiritDetox Ministries does not control, guarantee, or manage the outcomes of this program.

Section 7.7 General Clarification

The Education Scholarship Certificate Program is:

  • community-based
  • participation-driven
  • educationally aligned

It is not:

  • a financial instrument
  • an investment program
  • a guaranteed or promised benefit

Article VIII: Financial Matters

Section 8.1 Donations: 

Membership contributions support the educational programs, resources, and community activities provided by SpiritDetox Ministries.

These contributions are associated with access to membership content, services, and participation within the community.

Section 8.2 Methods of Payment: 

SpiritDetox Ministries accepts standard electronic payment methods, including major credit and debit cards such as Visa, Mastercard, and American Express.

Additional payment methods may be made available from time to time to support member access and participation.

Section 8.3 Refund Policy: 

Membership fees are refundable within thirty (30) days of the initial transaction. After this period, all payments are non-refundable.

Members may cancel their membership at any time, and access will continue through the end of the current billing period.

Upon cancellation or refund, access to membership content, community areas, and related participation features may be adjusted or discontinued accordingly.

Section 8.4 Financial Continuity:

SpiritDetox Ministries may offer an introductory trial period, including a three (3) month trial membership, which provides access to selected educational content and community features.

Following the trial period, continued access to membership content, community areas, and participation features requires an active subscription.

If a membership payment is not completed, canceled, or expires after the trial period, access may be paused or discontinued accordingly.

Members may rejoin or activate a paid membership at any time, subject to current terms and program availability.

Article IX: Legal and Conduct Provisions

Member Conduct
Members are expected to engage respectfully within the SpiritDetox Ministries community and to follow all applicable guidelines, agreements, and standards of participation.

Membership Termination
The Ministry reserves the right to suspend or terminate membership for conduct that violates community standards or participation agreements.

Modifications
The Ministry may update its Terms, Bylaws, or program structures from time to time. Members will be notified of any material changes.

Non-Transferability
Membership and associated access are personal to the member and may not be transferred without prior written approval.

Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full effect.

Force Majeure
The Ministry shall not be responsible for delays or interruptions caused by events beyond its reasonable control.

Limitation of Liability
All content, programs, and community interactions are provided for educational purposes. Members participate voluntarily and assume responsibility for their use of the information provided.

Indemnification
Members agree to be responsible for their own actions and to not hold the Ministry liable for claims arising from their individual conduct or use of the services.

Confidentiality
Community materials, discussions, and member interactions are intended for private use within the SpiritDetox Ministries environment and should be treated with respect and discretion.

Use of Materials
All content is provided for personal use only and may not be reproduced, distributed, or used for commercial purposes without permission.

Community Respect
Members are expected to communicate respectfully and in good faith within the community. Concerns or disagreements should be addressed through appropriate internal channels.

Dispute Resolution
Any concerns or disputes should first be addressed through the Ministry’s internal review process. The Ministry will work in good faith to resolve matters in a fair and reasonable manner.

Article X: Political Neutrality and Non-Participation

Political Neutrality and Non-Participation:
The Association is established as a private, faith-based, educational, and ministerial body and shall remain strictly non-political in nature.

The Association does not participate in public political processes, including voting activities, political campaigns, or support for any candidate, political party, or public office.

No, minister, member, or affiliate shall act in any political capacity on behalf of the Association, nor represent the Association in any political matter.

All political rights remain personal to the member and are not exercised through the Association.

This provision is adopted to preserve the integrity, neutrality, and protected standing of the Association in alignment with its private and ministerial purpose.

Article XI: Standards of Conduct in Government and Administrative Dealings

Standards of Conduct in Government and Administrative Dealings:

The Association affirms that all members, ministers, and affiliates shall conduct themselves with the highest degree of integrity, respect, and professionalism in all interactions involving governmental bodies, public institutions, and their respective officials.

The Association does not engage in combative, adversarial, or disruptive conduct in governmental or administrative matters. All such interactions shall be approached with the intent of achieving clarity, lawful process, and constructive resolution.

No, minister, member, or affiliate shall represent the Association in any manner that reflects hostility, disrespect, or intentional conflict in dealings with governmental or administrative authorities.

All engagements shall be carried out in good faith, with a focus on cooperation, clear communication, and responsible participation in all lawful processes.

All such conduct is expected to reflect the Association’s commitment to integrity, order, and disciplined self-governance in all public and administrative interactions.

This provision is adopted to preserve respect, effective resolution, and the proper standing of the Association in alignment with its private, educational, and ministerial purpose.

Article XII: Conduct in Interactions with Law Enforcement

Standards of Conduct in Law Enforcement Interactions:

The Association affirms that all members, ministers, and affiliates shall conduct themselves with the highest degree of respect, composure, and professionalism in all interactions with law enforcement personnel, including police officers, sheriffs, highway patrol, and other authorized enforcement officials.

All such interactions shall be approached in a calm, cooperative, and non-confrontational manner. Members are expected to maintain clear communication, demonstrate self-control, and avoid any conduct that may be interpreted as disruptive, hostile, or obstructive.

The Association does not support or condone resistance, escalation, or adversarial behavior in encounters with law enforcement. All engagements shall be handled with awareness, discipline, and a focus on peaceful resolution.

No, minister, member, or affiliate shall represent the Association in any manner that reflects disrespect, defiance, or unnecessary conflict in dealings with law enforcement authorities.

All interactions are to reflect the Association’s commitment to integrity, order, and responsible self-governance, ensuring that all conduct remains consistent with its private, educational, and ministerial purpose.

This provision is adopted to preserve safety, mutual respect, and appropriate conduct in all encounters involving law enforcement personnel.

Article XIIV: Member Conduct and Good Faith Interaction

Standards of Conduct Among Members:

The Association affirms that all members, ministers, and affiliates shall conduct themselves with integrity, respect, and good faith in all interactions within the Association.

All members are expected to engage in a manner that reflects cooperation, clear communication, and mutual respect. Conduct that is disruptive, abusive, deceptive, or intentionally harmful to other members or to the Association shall not be permitted.

No member shall misrepresent the Association, its purpose, or its systems, nor act in a manner that creates confusion, conflict, or unnecessary disorder within the Association.

All participation shall be carried out in good faith, with personal responsibility for one’s actions, communications, and decisions.

This provision is adopted to preserve order, trust, and harmony within the Association, consistent with its private, educational, and ministerial purpose.
