Article I: Name and Legal Foundation

Section 1.1 Name

The name of this organization shall be SpiritDetox Ministries (SDM), also referenced in these bylaws as “the Ministry.”

SpiritDetox Ministries functions as a private fellowship organized for educational, spiritual, and community purposes in accordance with the principles described in these bylaws.

Where referenced in fellowship with the Association, EQPAY is understood as a native blockchain coin used within a private educational ecosystem and not as an investment or security.

Section 1.2 Private Ministerial Association Status

SpiritDetox Ministries operates as a Private Ministerial Association (PMA) composed of members who voluntarily associate for educational, spiritual, and community activities.

Participation in the Ministry constitutes a private membership relationship governed by the Ministry’s bylaws, declarations, and membership agreements.

The Ministry recognizes principles of religious liberty, freedom of association, and private contract as generally reflected in various legal and human-rights frameworks, including but not limited to:

  • The Universal Declaration of Human Rights (UDHR).
  • The Constitution of the United States, including the First Amendment.
  • Applicable state constitutions.
  • The Canadian Charter of Rights and Freedoms.
  • Traditional principles of ecclesiastical governance and natural law.
  • Section 508(c)(1)(a) of Title 26 of the United States Code.
These references are included to acknowledge commonly recognized protections of religious liberty and voluntary association.

Section 1.3 Unincorporated Status

SpiritDetox Ministries is organized as an unincorporated association and is not formed as a statutory corporation.

As an unincorporated private association:

  • The Ministry is governed internally by its bylaws, declarations, and membership agreements.
  • Membership participation is voluntary and based on private contract among members.
  • Internal matters of the Ministry are administered according to its governing documents and ministerial leadership.
The Ministry conducts its activities in accordance with its educational and spiritual mission and maintains administrative independence consistent with its private association structure.

Section 1.4 Reference to Legal Codes Disclaimer

References to constitutional provisions, statutes, or international declarations within these bylaws are provided for general informational and contextual purposes only.

Such references are not intended to constitute legal claims, legal advice, or assertions of immunity from applicable laws or regulations.

Members remain individually responsible for complying with the laws and regulations applicable within their own jurisdiction.

Article II: Mission

Spiritdetox Ministries, SSM, exists to:

  • Promote spiritual education, faith, and personal transformation.

  • Facilitate holistic well-being and prosperity among members

  • Offer a lawful, private platform for ministry, commerce, and education

  • Support decentralization, sovereignty, and freedom of association

Article III: What is a PMA?

A Private Membership Association is a lawful, contractual entity composed of individuals who come together privately to exercise their rights to freedom of association, religion, and privacy. PMAs operate outside the jurisdiction of public law so long as they do not pose a clear and present danger to public health or safety.

Article IV: Membership

Section 4.1 Eligibility: Any individual who agrees with the principles and mission of the Ministry and has not been previously banned may apply for membership.

Section 4.2 Rights: Members have the right to:

  • Participate in all programs and offerings

  • Receive educational content, coaching, and spiritual mentorship

  • Engage in private commerce with other members

Section 4.3 Responsibilities: Members must:

  • Act with integrity, respect, and confidentiality

  • Abide by all agreements, pledges, and community standards

Section 4.4 Termination: Membership may be revoked at the discretion of the Board of Trustees for:

  • Disruptive behavior

  • Violation of agreements

  • Engaging in harmful, fraudulent, or harassing activities

Article V: Structure

Section 5.1 Executor: The Ministry shall be governed by a Board of Trustees, who:

  • Make decisions regarding governance, programs, and use of assets

  • Pledge $99.95 per month to support the mission

  • May issue certifications, licenses, and other documentation

Section 5.2 Independent Contractor Status: All members, ministers, and contributors are considered independent and not agents or employees of the Ministry.

Article VI: Programs and Services

The Ministry provides:

  • Spiritual education, wellness resources, and holistic coaching

  • Online courses in personal development and wealth creation

  • The EQPAY Rewards Program

Article VII: EQPAY Education Scholarship Certificate Program

Section 7.1 Program Overview

The EquityPay ecosystem operates an Education Scholarship Certificate Program designed to encourage participation in educational programs, community development, and long-term engagement within the EquityPay network.

Under this program, eligible members may receive monthly scholarship certificate allocations recorded within the EquityPay system. These certificates represent participation-based educational scholarships that may later be redeemed for EQPAY coins.

The program functions as a time-based certificate ledger system administered through the EquityPay platform and integrated with the membership system.

This program is strictly an education and community scholarship system and does not involve trading, financial investments, decentralized finance (DeFi), or guaranteed financial returns.

Section 7.2 Membership Eligibility

Scholarship certificates may be issued to eligible members based on their participation level within the EquityPay ecosystem.

Membership levels include:

  • Private Membership — Free 3-month educational access
  • Executor Membership — $99.95 per month participation level

Only members maintaining an active Executor membership status may qualify for scholarship certificate allocations.

Participation levels and eligibility requirements may be adjusted by program administrators as the network evolves.

Section 7.3 Monthly Scholarship Certificate Issuance

Each month, a scholarship pool of EQPAY coins may be allocated for distribution among eligible members.

Certificates issued to members represent a recorded allocation within the scholarship ledger and include the following information:

  • Allocation month
  • Issue date
  • Base EQPAY amount
  • Unlock date
  • Tier progression dates
  • Expiration date
Certificates are recorded in the member’s scholarship ledger and may become redeemable over time according to the certificate lifecycle rules.

Section 7.4 Certificate Lifecycle

Each scholarship certificate follows a time-based activation schedule beginning from the certificate’s issue date.

Certificates gradually become redeemable as they mature according to the lifecycle schedule described below. The schedule is designed to encourage continued participation and long-term engagement within the community.

Additional Rules

  • Certificates cannot be redeemed before 60 days from the issue date.

  • Certificates automatically redeem at the 180-day milestone according to the scheduled maximum redemption value if they have not already been redeemed by the member.

  • Once redeemed, the corresponding EQPAY coin allocation is credited to the member’s wallet through the system.

  • All issued certificates remain visible in the member’s historical scholarship ledger as a permanent record of participation.

Section 7.5 Example Scholarship Certificate

The following illustration demonstrates an example of a Scholarship Certificate issued within the EquityPay Education Scholarship Program.

Each certificate represents a recorded allocation issued to a member and includes important information such as:

  • Member Name
  • Membership Level
  • Allocation Month
  • Base EQPAY Allocation
  • Certificate Identification Number
  • Redemption Lifecycle Schedule
The actual EQPAY amount may vary depending on the monthly scholarship pool and participation allocation. Final redeemable values are calculated dynamically at the time of redemption based on the certificate lifecycle schedule described in Section 7.4.

Certificates are recorded within the scholarship ledger and may be redeemed through the member dashboard once they reach an eligible redemption tier.

Section 7.6 Certificate Redemption

Members may redeem eligible certificates through the member dashboard once the certificates reach their redeemable status.

Redemptions are processed as follows:

  1. The system verifies that the member maintains an active Executor membership.

  2. The member must have a valid EQPAY wallet address associated with their account.

  3. Selected certificates are processed through the redemption engine.

  4. EQPAY coins are sent from the program reserve wallet to the member’s wallet address.

  5. A blockchain transaction hash is recorded for audit purposes.

Batch redemption of multiple certificates may be supported through the system interface.

Section 7.7 Scholarship Pool Administration

The scholarship pool may be managed through an administrative panel that allows program administrators to:

  • Define monthly scholarship pool allocations
  • Determine participation weighting methods
  • Generate certificate records for eligible members.
  • Monitor redemption activity and program balances.
  • Export reporting data for auditing purposes.

Certificates may be allocated using equal distribution or participation-based allocation models.

Section 7.8 Program Disclaimer

The EquityPay Education Scholarship Program is designed as a community education support system.

Participation in the program:

  • Does not constitute an investment.
  • Does not guarantee financial return or profit.
  • Does not involve securities or financial instruments.
Scholarship certificate values and redemption amounts may vary based on the prevailing market value of EQPAY coins at the time of redemption.

The program administrators reserve the right to modify, pause, or discontinue scholarship distributions if necessary to maintain the sustainability of the network.

Section 7.9 Wallet Requirement

To redeem scholarship certificates, members must maintain an active EQPAY wallet address associated with their account.

All redemption payouts are sent directly to the member’s wallet through the EquityPay blockchain network.

Without a valid wallet address on file, certificate redemption cannot be processed.

Article VIII: Financial Matters

Section 8.1 Donations: All contributions are considered spiritual gifts.

Section 8.2 Methods of Payment: Visa, Mastercard, American Express

Section 8.3 Refund Policy: Refunds only within 30 days of transaction. No refunds after.

Section 8.4 Financial Obligation: Members must fulfill donation plans. Failure forfeits access and rewards.

Article IX: Legal and Conduct Provisions

  • Jurisdiction: All disputes are resolved under Ecclesiastical Law by Spiritdetox Ministries Tribunals.

  • Termination: The Ministry may terminate membership for misconduct or violation of agreements.

  • Modification: Terms may be updated at any time. Members will be notified.

  • Assignment: Agreements are non-transferable without express permission.

  • Severability/Waiver: Invalid provisions do not affect the rest of the agreement.

  • Force Majeure: No liability for events beyond reasonable control.

  • Limitation of Liability: Members assume all risk. The Ministry is not liable for any damages.

  • Indemnification: Members hold the Ministry harmless against all claims.

  • Confidentiality: All materials and interactions are private and protected.

  • No Transfer: Materials may not be resold or reused for commercial use.

  • Non-Disparagement: Members may not publicly criticize the Ministry or its members.

All disputes, controversies, or grievances arising under this Agreement shall be resolved exclusively under Natural Law and Ecclesiastical jurisdiction, with venue being the internal tribunal of SpiritDetox Ministries, SSM, or such private ecclesiastical forum as determined by mutual consent.

Article X: Political Neutrality and Non-Participation

Political Neutrality and Non-Participation:
The Association is established as a private, faith-based, educational, and ministerial body and shall remain strictly non-political in nature.

The Association does not participate in public political processes, including voting activities, political campaigns, or support for any candidate, political party, or public office.

No officer, minister, member, or affiliate shall act in any political capacity on behalf of the Association, nor represent the Association in any political matter.

All political rights remain personal to the member and are not exercised through the Association.

This provision is adopted to preserve the integrity, neutrality, and protected standing of the Association in alignment with its private and ministerial purpose.

Article XI: Standards of Conduct in Government and Administrative Dealings

Standards of Conduct in Government and Administrative Dealings:

The Association affirms that all members, officers, ministers, and affiliates shall conduct themselves with the highest degree of integrity, respect, and professionalism in all interactions involving governmental bodies, public institutions, and their respective officials.

The Association does not engage in combative, adversarial, or disruptive conduct in governmental or administrative matters. All such interactions shall be approached with the intent of achieving clarity, lawful process, and constructive resolution.

No officer, minister, member, or affiliate shall represent the Association in any manner that reflects hostility, disrespect, or intentional conflict in dealings with governmental or administrative authorities.

All engagements shall be carried out in good faith, with a focus on cooperation, clear communication, and responsible participation in all lawful processes.

All such conduct is expected to reflect the Association’s commitment to integrity, order, and disciplined self-governance in all public and administrative interactions.

This provision is adopted to preserve respect, effective resolution, and the proper standing of the Association in alignment with its private, educational, and ministerial purpose.

Article XII: Conduct in Interactions with Law Enforcement

Standards of Conduct in Law Enforcement Interactions:

The Association affirms that all members, officers, ministers, and affiliates shall conduct themselves with the highest degree of respect, composure, and professionalism in all interactions with law enforcement personnel, including police officers, sheriffs, highway patrol, and other authorized enforcement officials.

All such interactions shall be approached in a calm, cooperative, and non-confrontational manner. Members are expected to maintain clear communication, demonstrate self-control, and avoid any conduct that may be interpreted as disruptive, hostile, or obstructive.

The Association does not support or condone resistance, escalation, or adversarial behavior in encounters with law enforcement. All engagements shall be handled with awareness, discipline, and a focus on peaceful resolution.

No officer, minister, member, or affiliate shall represent the Association in any manner that reflects disrespect, defiance, or unnecessary conflict in dealings with law enforcement authorities.

All interactions are to reflect the Association’s commitment to integrity, order, and responsible self-governance, ensuring that all conduct remains consistent with its private, educational, and ministerial purpose.

This provision is adopted to preserve safety, mutual respect, and appropriate conduct in all encounters involving law enforcement personnel.

Article XIIV: Member Conduct and Good Faith Interaction

Standards of Conduct Among Members:

The Association affirms that all members, officers, ministers, and affiliates shall conduct themselves with integrity, respect, and good faith in all interactions within the Association.

All members are expected to engage in a manner that reflects cooperation, clear communication, and mutual respect. Conduct that is disruptive, abusive, deceptive, or intentionally harmful to other members or to the Association shall not be permitted.

No member shall misrepresent the Association, its purpose, or its systems, nor act in a manner that creates confusion, conflict, or unnecessary disorder within the Association.

All participation shall be carried out in good faith, with personal responsibility for one’s actions, communications, and decisions.

This provision is adopted to preserve order, trust, and harmony within the Association, consistent with its private, educational, and ministerial purpose.

Article XIII: Disclaimers

General Disclaimer: The Ministry offers educational and spiritual services. It is not a substitute for medical, legal, or professional advice.

Earnings Disclaimer: No guarantees are made regarding income, results, or success. All outcomes depend on individual effort.

Notice: All rights are expressly reserved under UCC 1-103 and UCC 1-308. This Association does not waive any rights or remedies, and operates under the protection of Natural Law, Equity, and Ecclesiastical authority.

Digital Acknowledgment and Acceptance

By checking the box and clicking “Submit and Check-Out,” the member affirms their full understanding and agreement with all terms, notices, and declarations made by Spiritdetox Ministries. This act constitutes:

  • Voluntary entry into a private, spiritual fellowship under ecclesiastical law, not subject to public regulatory oversight;

  • A confirmation that the individual is not acting as an agent, officer, or representative of any government, regulatory agency, or investigatory body;

  • A declaration of good faith, lawful intent, and spiritual alignment with the mission and governance of Spiritdetox Ministries;

  • And lawful digital acknowledgment, which shall be deemed equivalent to a handwritten signature, binding under the authority of ecclesiastical law and private contract.

Digital Acknowledgment and Member Agreement

Digital acknowledgment, including the use of electronic forms, buttons, checkboxes, or signatures, carries the full weight of agreement and shall be enforceable as such within the private jurisdiction of SpiritDetox Ministries, SSM.

By proceeding with acknowledgment or engagement, the member affirms their understanding and acceptance of these Bylaws, and enters into private covenant with SpiritDetox Ministries, SSM.

Digitally Signed and Sealed — I affirm that I am a living man or woman, not a person, agent, or legal fiction. I enter this agreement in my private capacity (as a man/woman), under Divine and Ecclesiastical Law.
