Article I: Name and Legal Foundation

Section 1.1 Name: The name of this organization shall be Spiritdetox Ministries, SSM, hereafter referred to as “the Ministry.”

Section 1.2 Legal Standing: The Ministry is established as a private, unincorporated ministerial association (PMA), operating exclusively within the private domain under the protections of:

  • The Universal Declaration of Human Rights (UDHR)

  • The U.S. Constitution, particularly the First, Fifth, Ninth, Tenth, and Fourteenth Amendments

  • Applicable state constitutions and the Canadian Charter of Rights

  • Ecclesiastical Law and Natural Law

  • Section 508(c)(1)(a) of Title 26 of the United States Code

Section 1.3 Unincorporated Status: Spiritdetox Ministries, SSM is intentionally unincorporated. It is not a creation of the state or federal government, nor is it registered under any public corporation statute. The Ministry exists by virtue of private contract and divine natural law, free from the jurisdiction and regulation of public administrative bodies. As an unincorporated entity, it operates wholly in the private domain and is governed solely by its own bylaws, declarations, and ecclesiastical tribunals

Article II: Mission

Spiritdetox Ministries, SSM, exists to:

  • Promote spiritual education, faith, and personal transformation

  • Facilitate holistic well-being and prosperity among members

  • Offer a lawful, private platform for ministry, commerce, and education

  • Support decentralization, sovereignty, and freedom of association

Article III: What is a PMA?

A Private Membership Association is a lawful, contractual entity composed of individuals who come together privately to exercise their rights to freedom of association, religion, and privacy. PMAs operate outside the jurisdiction of public law so long as they do not pose a clear and present danger to public health or safety.

Article IV: Membership

Section 4.1 Eligibility: Any individual who agrees with the principles and mission of the Ministry and has not been previously banned may apply for membership.

Section 4.2 Rights: Members have the right to:

  • Participate in all programs and offerings

  • Receive educational content, coaching, and spiritual mentorship

  • Engage in private commerce with other members

Section 4.3 Responsibilities: Members must:

  • Act with integrity, respect, and confidentiality

  • Abide by all agreements, pledges, and community standards

Section 4.4 Termination: Membership may be revoked at the discretion of the Board of Trustees for:

  • Disruptive behavior

  • Violation of agreements

  • Engaging in harmful, fraudulent, or harassing activities

Article V: Structure

Section 5.1 Trustees: The Ministry shall be governed by a Board of Trustees, who:

  • Make decisions regarding governance, programs, and use of assets

  • Pledge $99.95 per month to support the mission

  • May issue certifications, licenses, and other documentation

Section 5.2 Independent Contractor Status: All members, ministers, and contributors are considered independent and not agents or employees of the Ministry.

Article VI: Programs and Services

The Ministry provides:

  • Spiritual education, wellness resources, and holistic coaching

  • Online courses in personal development and wealth creation

  • The EQPAY Rewards Program

Article VII: EQPAY Rewards Program

Section 7.1 Overview: A total of 6 million EQPAY coins are allocated for reward distribution based on membership participation.

Section 7.2 Membership Levels:

  • Free Trial: 3 months, no cost

  • Trustee: $99.95/month

Section 7.4 Rewards Disclaimer:

a) The Association may issue digital rewards in the form of EQPAY coins to active members as a discretionary benefit tied to their membership tier and pledge completion.

b) Rewards shall be calculated based on the current market value of EQPAY coins at the time of distribution and are not guaranteed. The amount of coins issued may vary due to fluctuations in market price and other economic or internal factors.

c) Reward eligibility requires that the member be in active standing and have completed their pledge commitment in full by the end of each membership cycle, which shall span a period of approximately thirty-one (31) to forty (40) days.

d) The amount of EQPAY coins distributed shall correspond to the member’s tier level and the prevailing EQPAY coin rate at the time. For illustrative purposes only:

A Trustee Member may receive a reward valued at one hundred thirty-three dollars ($133.00). If the market value of EQPAY is ten cents ($0.10) per coin average buy order, the member would receive one thousand three hundred thirty (1,330) EQPAY coins.

e) The rewards system shall be dynamic and market-based, designed to reflect fair valuation and incentivize active participation. The Association reserves the right to modify, pause, or discontinue rewards at its sole discretion.

f) All members acknowledge and agree that participation in the rewards program does not constitute a guarantee of return, and that rewards are variable in nature and subject to change without prior notice.

Article VIII: Financial Matters

Section 8.1 Donations: All contributions are considered spiritual gifts.

Section 8.2 Methods of Payment: Visa, Mastercard, American Express

Section 8.3 Refund Policy: Refunds only within 30 days of transaction. No refunds after.

Section 8.4 Financial Obligation: Members must fulfill donation plans. Failure forfeits access and rewards.

Article IX: Legal and Conduct Provisions

  • Jurisdiction: All disputes are resolved under Ecclesiastical Law by Spiritdetox Ministries Tribunals.

  • Termination: The Ministry may terminate membership for misconduct or violation of agreements.

  • Modification: Terms may be updated at any time. Members will be notified.

  • Assignment: Agreements are non-transferable without express permission.

  • Severability/Waiver: Invalid provisions do not affect the rest of the agreement.

  • Force Majeure: No liability for events beyond reasonable control.

  • Limitation of Liability: Members assume all risk. The Ministry is not liable for any damages.

  • Indemnification: Members hold the Ministry harmless against all claims.

  • Confidentiality: All materials and interactions are private and protected.

  • No Transfer: Materials may not be resold or reused for commercial use.

  • Non-Disparagement: Members may not publicly criticize the Ministry or its members.

Digital Acknowledgment and Acceptance

By checking the box and clicking “Submit and Check-Out,” the member affirms their full understanding and agreement with all terms, notices, and declarations made by Spiritdetox Ministries. This act constitutes:

  • Voluntary entry into a private, spiritual fellowship under ecclesiastical law, not subject to public regulatory oversight;

  • A confirmation that the individual is not acting as an agent, officer, or representative of any government, regulatory agency, or investigatory body;

  • A declaration of good faith, lawful intent, and spiritual alignment with the mission and governance of Spiritdetox Ministries;

  • And lawful digital acknowledgment, which shall be deemed equivalent to a handwritten signature, binding under the authority of ecclesiastical law and private contract.

Digital acknowledgment, including the use of electronic forms, buttons, checkboxes, or signatures, carries the full weight of agreement and shall be enforceable as such within the private jurisdiction of Spiritdetox Ministries, SSM.
